These Terms govern access to PayrollMaster, a service operated by Batanai Digital Ventures of 158 Harare Street, Harare, Zimbabwe ("PayrollMaster", "we", "us"). By creating an account or using the service, the customer accepts these Terms.
1. Service
PayrollMaster provides hosted payroll, HR, attendance, leave, statutory calculation, reporting and related administrative tools. Features may be improved or changed where this does not materially reduce the subscribed service.
2. Accounts and authorised users
The customer must provide accurate details, appoint authorised administrators, keep credentials confidential, promptly remove access that is no longer required and notify us of suspected unauthorised use. Activity performed through an account is treated as authorised unless promptly disputed.
3. Customer responsibilities
- Enter complete and accurate employee, tax, statutory and payroll information.
- Review payroll calculations, reports and payment instructions before approval or submission.
- Maintain lawful authority to process employee information and provide required notices.
- Configure current tax tables, statutory rates, exchange rates and employment rules.
- Keep independent copies of critical reports and comply with record-retention obligations.
4. Trial, subscription and payment
A free trial lasts for the period shown at registration. Paid subscriptions are priced by the applicable plan, employee count, currency and billing period shown before checkout. Fees are due in advance and are generally non-refundable once a paid period begins, except where required by law or agreed in writing.
5. Suspension and expiry
Access may be restricted when a trial or paid period expires, payment remains outstanding, use creates a security risk, these Terms are materially breached, or suspension is legally required. Data is not immediately deleted solely because access is restricted.
6. Availability and support
We use reasonable care to keep the service available, backed up and secure. Maintenance, hosting failure, internet disruption, force majeure and emergency security work may interrupt access. Support is provided through the contact channels published by PayrollMaster.
7. Customer data
The customer retains its rights in customer data. The customer authorises PayrollMaster to host, process, back up and transmit that data only as required to provide, secure and support the service. The Data Processing Agreement forms part of these Terms.
8. Intellectual property
PayrollMaster and its software, design, documentation and branding remain the property of the service provider or licensors. The customer receives a limited, non-exclusive, non-transferable right to use the service during an active subscription. Reverse engineering, unauthorised resale, security testing without permission and access intended to disrupt the service are prohibited.
9. Confidentiality
Each party must protect the other’s confidential information and use it only for the service relationship. This does not cover information lawfully public, independently developed or required to be disclosed by law.
10. Warranties and liability
The service is provided with reasonable skill and care. To the fullest extent permitted by law, indirect, consequential, special or loss-of-profit damages are excluded. Aggregate liability arising from the service will not exceed fees paid by the affected customer during the six months before the event, except where liability cannot lawfully be limited.
11. Termination and export
Either party may terminate as permitted by the order, these Terms or applicable law. Before termination or expiry of the available recovery period, the customer should export required records. We may delete customer data after the contractual, recovery and legally required retention periods.
12. Governing law and disputes
These Terms are governed by the laws of Zimbabwe. The parties will first try in good faith to resolve a dispute through written notice and management discussion before pursuing remedies available through the courts or another agreed process.
13. Contact and changes
Notices may be sent to info@payrollmaster.co.zw. We may update these Terms for legal, security or service reasons and will give reasonable notice of material changes.
